Affiliate Partnership Agreement

1. What this agreement is for

The Affiliate may refer potential clients to Custom Made for company formation, visa and business setup services. Neither side has to make or accept a referral, and the arrangement is not exclusive.

2. How a referral is made

The Affiliate refers a client through its referral link, or by email giving the client's name and contact details. Custom Made then has five business days to say in writing that it already acts for that client or is already in discussion with them. If it does not, the client is a Referred Client.

3. The referral commission

Custom Made pays the Affiliate the commission set out in the Schedule for each Referred Client that engages it, one commission per client however many services they take. It is paid in the currency for the Affiliate's country of residence, or where a company is registered, and in US dollars where that country is not listed. The commission becomes due once Custom Made has received cleared payment from that client, and is paid within fourteen days of the Affiliate's invoice.

4. Keeping each other informed

Custom Made tells the Affiliate when a Referred Client engages it and what that client has paid, and keeps records the Affiliate can ask to see if a commission is in question.

5. Term and ending this agreement

This agreement runs until either party ends it. Either party may end it at any time, for any reason, by written notice to the other, and Custom Made may end it with immediate effect.

6. Commission ends with this agreement

When this agreement ends, no further commission becomes payable, including for clients referred before the end date. Commission that was already due before the end date, because Custom Made had received cleared payment from the Referred Client, remains payable.

7. How the parties work together

Each party acts independently. Nothing here creates a partnership, employment or agency, and neither party may sign anything on the other's behalf. The Affiliate markets within the law and makes no promise about pricing, timescales, approvals or tax outcomes on Custom Made's behalf, and may use the Custom Made name and logo while this agreement runs. Custom Made is responsible for the services it provides and the terms it agrees with a Referred Client.

8. Confidentiality

Each party keeps the other's business information, and any client details, confidential, uses them only for this agreement, and handles personal data in line with UAE data protection law. This clause survives termination.

9. Law and changes

This agreement is governed by the laws of the United Arab Emirates and the courts of Dubai have jurisdiction. It is the whole agreement between the parties, and any change must be in writing and agreed by both.

Schedule: referral commission

One payment per Referred Client that engages Custom Made:

• AED 750 (United Arab Emirates)
• AUD 300 (Australia)
• USD 200 (United States, and any country not listed)
• EUR 175 (Eurozone)
• GBP 150 (United Kingdom)
